Key change in this version: We want to make it clear that London Loan Designs Limited, the operator of our European Headquarters, is accountable for providing our service in the European Economic Area, the United Kingdom, and Switzerland.

The service may offer subscriptions that automatically renew. Please read these Terms and Conditions of Use carefully before starting a trial or completing a purchase for auto-renewing subscription service. To avoid being charged you must affirmatively cancel a subscription or a trial at least 24 hours before the end of the trial or the current subscription period.

1. By registering for an EliteFilipino account, whether it be on a mobile device, mobile application, or computer, you are acknowledging and accepting the terms outlined in this Agreement. This Agreement includes the Terms of Use, Privacy Policy, Cookie Policy, Arbitration Procedures (if applicable), Safety Tips, and Community Guidelines. Additionally, any additional features, products, or services that you may purchase on the Service will also be subject to this Agreement. If you do not agree to all of the terms in this Agreement, please refrain from using the Service.

We reserve the right to modify this Agreement and the Service periodically. Such modifications may be made to comply with legal requirements, introduce new features, or adapt to evolving business practices. The latest version of this Agreement will be available on the Service's Settings page and EliteFilipino.com. It is advisable to regularly check for updates. The most recent version of the Agreement will be applicable. In case the changes involve significant alterations to your rights or obligations, we will notify you at least 30 days in advance (unless prohibited by law) through reasonable means, such as notification within the Service or via email. By continuing to use the Service after the changes take effect, you indicate your acceptance of the revised Agreement.

2. To be eligible, all of the following conditions must be met in order for you to create an account, access, or use the Service or the systems it is hosted on:

To access EliteFilipino's services, you must meet the following criteria: you must be of legal age, capable of entering into a legally binding agreement, not prohibited from using the service under any applicable laws, and willing to comply with all relevant laws and regulations. Additionally, you must have no prior convictions for felonies, indictable offenses, sex crimes, or any violent crimes, and you should not be required to register as a sex offender in any jurisdiction.

3. Your Account.

   To utilize EliteFilipino, there are various methods available for signing in, one of which is through Facebook login. By opting for Facebook login, you grant us permission to access and utilize specific information from your Facebook account, which includes, but is not limited to, your public Facebook profile. For further details regarding the data we collect from you and its usage, kindly refer to our Privacy Policy.

It is your responsibility to maintain the confidentiality of your login credentials used for EliteFilipino registration, and you alone are accountable for any activities carried out under those credentials. If you suspect that someone has gained unauthorized access to your account, please contact us immediately.

4. Modifying the Service and Termination.

   EliteFilipino is continuously working towards enhancing the Service and providing you with more features that are both engaging and useful. This means that we may introduce new product features or improvements periodically, as well as remove certain features. However, if these actions do not significantly impact your rights or obligations, we may not notify you beforehand. In certain circumstances, such as safety or security concerns, we may even suspend the Service entirely. In such cases, we will make every effort to inform you in advance, unless there are extenuating circumstances preventing us from doing so.

To terminate your account, the simplest method is to follow the instructions located under "Settings" in the Service. However, you also have other options available for account termination. It is important to note that if you have made purchases through a third-party payment account like Apple's App Store or Google Play Store, you will need to manage any in-app purchases through that specific account to avoid additional charges. Please be aware that EliteFilipino reserves the right to terminate your account without notice if we believe you have violated the terms of this Agreement. In the event of such termination, you will not be eligible for any refunds on your purchases.

In the event that you are a resident of the Republic of Korea, unless we have reasonable grounds to believe that (i) providing notice is legally prohibited (such as when giving notice would violate applicable laws, regulations, or orders from regulatory authorities, or compromise an ongoing investigation conducted by a regulatory authority) or (ii) any notice may cause harm to you, third parties, EliteFilipino, and/or our affiliates (such as when providing notice would jeopardize the security of the Service), we will promptly inform you of the reasons for taking the necessary action.

Upon the termination of your account, this Agreement will also come to an end, with the exception of the following provisions which will still be applicable to you and EliteFilipino: Section 4, Section 5, and Sections 12 through 19.

5. Safety; Your Interactions with Other Members.
EliteFilipino prioritizes a respectful member experience by implementing features such as the double opt-in, which ensures that members can only communicate with each other after expressing mutual interest. However, it is important to note that EliteFilipino cannot be held responsible for the actions of any member, whether on or off the Service. It is advised that you exercise caution when interacting with other members, especially if you choose to communicate outside of the Service or meet in person. Additionally, it is mandatory to familiarize yourself with EliteFilipino's Safety Tips before using the Service. It is strictly prohibited to share your financial information, such as credit card or bank account details, or to send money to other members.

Please be aware that you are solely responsible for your interactions with other members. EliteFilipino does not conduct criminal background checks or investigate the backgrounds of its members. Therefore, EliteFilipino does not make any representations or warranties regarding the conduct or compatibility of its members.

6. Rights EliteFilipino Grants You.

EliteFilipino provides you with a personal, worldwide, royalty-free, non-assignable, nonexclusive, revocable, and non-sublicensable license to access and utilize the Service. The purpose of this license is to allow you to use and enjoy the benefits of the Service as intended by EliteFilipino and permitted by the terms of this Agreement. Please be aware that this license and your authorization to access the Service will be automatically revoked if you engage in any of the following activities: 1. Using the Service or any content within the Service for commercial purposes without obtaining our written consent. 2. Copying, modifying, transmitting, creating derivative works from, utilizing, or reproducing in any manner any copyrighted material, images, trademarks, trade names, service marks, or other intellectual property, content, or proprietary information accessible through the Service without obtaining EliteFilipino's prior written consent. 3. Making any statements that imply or express endorsement by EliteFilipino without proper authorization.

Do not employ any automated or manual means to access, retrieve, index, or reproduce the Service or its contents, such as robots, bots, spiders, crawlers, scrapers, site search/retrieval applications, proxies, or any other method or process. Additionally, refrain from using the Service in a manner that may interfere with, disrupt, or have a negative impact on the Service, its servers, or the connected networks. Furthermore, do not upload viruses or any other harmful code that could compromise the security of the Service.

1. Alter headers or manipulate identifiers to conceal the source of any information transmitted through the Service.

2. Obtain EliteFilipino's written permission before duplicating or replicating any portion of the Service.

3. Employ meta tags, code, or other means that include references to EliteFilipino, the Service, or any EliteFilipino trademark, trade name, service mark, logo, or slogan to redirect individuals to external websites.

You are prohibited from making any modifications, adaptations, sublicenses, translations, sales, reverse engineering, deciphering, decompiling, or otherwise disassembling any part of the Service, or causing others to do so. Additionally, you are not allowed to use or develop any third-party applications that interact with the Service or other members' Content or information without our written consent. Furthermore, you cannot use, access, or publish the EliteFilipino application programming interface without our written consent. It is also forbidden to probe, scan, or test the vulnerability of our Service or any system or network. Lastly, you must not encourage or promote any activity that violates this Agreement. Please note that EliteFilipino reserves the right to investigate and take any necessary legal action in response to illegal or unauthorized uses of the Service, which may include terminating your account.

You have the option to modify the automatic downloads of upgrades, updates, or new features that may be downloaded and installed by the software we provide. This can be done through the settings on your device.

7. Rights you Grant EliteFilipino.

By registering an account, you are granting EliteFilipino a worldwide, transferable, sub-licensable, royalty-free right and license to host, store, use, copy, display, reproduce, adapt, edit, publish, modify, and distribute the information you authorize us to access from third-party platforms like Facebook. This also includes any information you post, upload, display, or make available ("post") on our Service or transmit to other members ("Content"). The license EliteFilipino holds for your Content is non-exclusive, except for derivative works created through the use of our Service, where the license becomes exclusive. For instance, EliteFilipino would have an exclusive license to screenshots of the Service that include your Content. Additionally, to prevent unauthorized use of your Content outside of our Service, you authorize EliteFilipino to take action on your behalf against infringing uses of your Content by other members or third parties. This includes the authority, but not the obligation, to send notices (such as DMCA Takedown Notices) under 17 U.S.C. § 512(c)(3) on your behalf if your Content is taken and used by third parties outside of our Service. Our license to your Content is subject to your rights under applicable law, such as laws regarding personal data protection, to the extent that any Content contains personal information as defined by those laws. The purpose of our license is limited to operating, developing, providing, and improving the Service, as well as researching and developing new ones. You acknowledge that any Content you place on the Service, or authorize us to place, may be viewed by other members and any person visiting or participating in the Service, including individuals who may receive shared Content from other EliteFilipino members.

You acknowledge and consent that all information provided during the creation of your account, including information obtained from your Facebook account, is accurate and truthful. Furthermore, you affirm that you possess the necessary rights to post the Content on the Service and grant the license to EliteFilipino as stated above.

It is understood and agreed that we have the authority to monitor or review any Content you publish as part of the Service. We retain the right to remove any Content, either in its entirety or partially, if we determine, at our sole discretion, that it violates this Agreement or has the potential to damage the reputation of the Service.

In your interactions with our customer care representatives, you consent to maintaining a respectful and courteous demeanor. Should we perceive any behavior towards our customer care representatives or other employees as threatening, harassing, or offensive, we reserve the right to promptly terminate your account.

By using the Service provided by EliteFilipino, you acknowledge and agree that we, along with our affiliates and third-party partners, have the right to display advertisements on the Service. If you provide any suggestions or feedback regarding our Service, you also agree that EliteFilipino can utilize and share that feedback for any purpose without providing compensation to you.

Please note that EliteFilipino may access, store, and disclose your account information and Content under certain circumstances. This may include situations where it is required by law, necessary to fulfill our agreement with you, or based on a genuine belief that such access, storage, or disclosure serves a legitimate interest. These interests may include complying with legal processes, enforcing the Agreement, addressing claims of Content infringement, responding to customer service requests, or protecting rights, property or personal safety of the Company or any other person.

8. Community Rules.

   By using the Service, you agree that you will not:

1. The Service must not be used for any illegal or prohibited activities as stated in this Agreement.

2. The Service should not be utilized for any harmful or malicious purposes.

3. It is strictly prohibited to employ the Service with the intention of causing harm to EliteFilipino.

4. Any violation of our Community Guidelines, which may be updated periodically, is not allowed.

5. Users must refrain from engaging in spamming, soliciting money, or defrauding other members.

6. Impersonating individuals or posting images of others without their consent is strictly forbidden.

7. Any form of bullying, stalking, intimidation, assault, harassment, mistreatment, or defamation is not tolerated.

8. Posting Content that infringes upon anyone's rights, including intellectual property rights, is prohibited.

9. Content that contains hate speech, threats, explicit or pornographic material is not allowed.

10. Content that incites violence, contains nudity, or gratuitous violence is strictly prohibited.

11. Content promoting racism, bigotry, hatred, or physical harm towards any individual or group is not permitted.

12. Soliciting passwords or personal identifying information for unlawful purposes or disseminating personal information without consent is strictly prohibited.

13. Users are not allowed to use another member's account, share accounts, or maintain multiple accounts.

14. Creating a new account after termination, without permission, is not permitted.

15. EliteFilipino reserves the right to investigate and terminate accounts without refund if users violate this Agreement, misuse the Service, or engage in inappropriate or unlawful behavior, both on and off the Service.

9. Other Members' Content.
While EliteFilipino retains the authority to assess and eliminate any Content that breaches this Agreement, the member who uploads such Content bears full responsibility for it. EliteFilipino cannot ensure that all Content will adhere to this Agreement. If you come across any Content on the Service that violates this Agreement, kindly report it through the Service or by using our contact form.

10. Payment

In certain instances, EliteFilipino may provide products and services for sale through authorized payment platforms such as the App Store, Google Play Store, carrier billing, EliteFilipino direct billing, or others. Should you decide to make a purchase, you will be required to confirm the transaction with the relevant payment provider. Your chosen Payment Method, whether it is your card or a third-party account like the Google Play Store or App Store, will be charged for the selected service(s) at the displayed prices, including any applicable sales taxes. By doing so, you grant EliteFilipino or the applicable third-party account permission to charge you accordingly.

Auto-Renewal; Automatic Card Payment

If you opt for an auto-recurring periodic subscription, your Payment Method will continue to be billed until you choose to cancel. Following the initial subscription commitment period, your subscription will automatically renew at the agreed-upon price unless you cancel prior to the renewal date. Your card payment details will be securely stored and utilized for automatic card payments as outlined in the Agreement.

If you have any objections regarding a payment that has already been made, please contact Customer Support. This applies if you were directly billed by EliteFilipino or through a third-party account like the App Store. Alternatively, you can also raise your objection by contacting your bank or payment provider. They will be able to provide you with more information about your rights and any applicable time limits. 

If you wish to stop automatic card payments, you can do so at any time by accessing the Settings on EliteFilipino or the relevant third-party account. However, please note that you are still responsible for paying any outstanding amounts.

To change or cancel your subscription, the easiest way is to log in to your third-party account or access the Settings on EliteFilipino (if applicable) and follow the provided instructions. Even if you have deleted your account with us or removed the EliteFilipino application from your device, this does not automatically terminate or cancel your subscription. EliteFilipino will continue to charge your Payment Method until you officially terminate or cancel your subscription on EliteFilipino or the third-party account.

If you decide to terminate or cancel your subscription, you will still have access to your subscription until the end of the current term. After that, your subscription will not be renewed.

For our members residing in Germany, you have the option to cancel your subscription after it has been renewed by providing a one-month notice. Your right to terminate for valid reasons remains unaffected.

Additional terms apply if you make direct payments to EliteFilipino using your Payment Method. In the event of any billing errors or mistakes made by EliteFilipino, we reserve the right to rectify them, even if payment has already been requested or received. Should you initiate a chargeback or reverse a payment made with your Payment Method, EliteFilipino may, at its sole discretion, immediately terminate your account.

To update your Payment Method information, please visit EliteFilipino and navigate to the Settings section. If a payment fails to go through due to reasons such as expiration or insufficient funds, and you do not update your Payment Method information, cancel your subscription, or terminate your account, you will still be held responsible for any outstanding amounts. By doing so, you authorize us to continue billing the Payment Method, taking into account any updates made. This may result in changes to your payment billing dates. Furthermore, you grant us permission to obtain updated or replacement expiration dates and card numbers for your credit or debit card, as provided by your card issuer. The terms of your payment will be determined by your chosen Payment Method and any agreements between you and the financial institution, credit card issuer, or other provider of your Payment Method. If you reside outside of the Americas, you agree that your payment to EliteFilipino will be made through alternative means.

Virtual Items. Occasionally, you may have the opportunity to acquire or earn a restricted, personal, non-transferable, non-sublicensable, revocable license to utilize "virtual items," which may consist of virtual products or virtual "coins" or other units that can be exchanged within the Service for virtual products (collectively referred to as "Virtual Items"). The balance of Virtual Items displayed in your account does not represent a real-world balance or indicate any stored value, but rather serves as a measurement of the scope of your license. Non-use of Virtual Items does not result in any fees; however, the license granted to you for Virtual Items will terminate as outlined in this Agreement when EliteFilipino discontinues providing the Service or when your account is closed or terminated for any reason. EliteFilipino, at its sole discretion, reserves the right to impose fees for accessing or using Virtual Items and may distribute Virtual Items with or without charge. EliteFilipino retains the authority to manage, regulate, control, modify, or eliminate Virtual Items at any given time. In the event that EliteFilipino exercises any of these rights, it shall not be held liable to you or any third party. Redemption of Virtual Items can only be done through the Service. ALL PURCHASES AND REDEMPTIONS OF VIRTUAL ITEMS MADE THROUGH THE SERVICE ARE FINAL AND NON-REFUNDABLE. The provision of Virtual Items for use in the Service is a service that begins immediately upon your purchase of such Virtual Items. YOU ACKNOWLEDGE THAT EliteFilipino IS NOT OBLIGATED TO PROVIDE A REFUND FOR VIRTUAL ITEMS UNDER ANY CIRCUMSTANCES, AND YOU WILL NOT RECEIVE ANY MONEY OR COMPENSATION FOR UNUSED VIRTUAL ITEMS WHEN YOUR ACCOUNT IS CLOSED, WHETHER VOLUNTARILY OR INVOLUNTARILY.

Refunds are generally not available for purchases, and there are no refunds or credits for partially used periods. However, there are certain exceptions to this policy. If you request a refund for a subscription offering within fourteen days of the transaction date, we may consider making an exception. Additionally, if the laws in your jurisdiction allow for refunds, we will comply with those regulations.

For subscribers in the EU or European Economic Area, you have the right to a full refund within 14 days of the subscription start date, without having to provide a reason. Please note that this 14-day period begins when the subscription is activated.

For subscribers and purchasers of Virtual Items in the Republic of Korea, local law entitles you to a full refund of your subscription and/or unused Virtual Items within 7 days of the purchase. Please be aware that this 7-day period starts from the moment of purchase.

Please note that unless you are a resident of the Republic of Korea, purchases of Virtual Items are considered final and non-refundable.

To request a refund:

For refunds on purchases made with your Apple ID, please note that Apple handles the refund process, not EliteFilipino. To request a refund, simply go to the App Store, click on your Apple ID, select "Purchase history", locate the transaction, and click on "Report Problem". Alternatively, you can submit a refund request through the following link: https://getsupport.apple.com.

If you made a purchase using your Google Play Store account or directly through EliteFilipino, please contact our customer support team with your order number. You can find the order number in the order confirmation email or by logging in to Google Wallet for Google Play Store purchases, and in your confirmation email for EliteFilipino purchases. Additionally, you have the option to mail or deliver a signed and dated notice stating your intention to cancel the Agreement or use similar wording. Please ensure to include the email address or mobile number associated with your account, along with the order number.

If you decide to exercise your right to cancel (excluding purchases made through your Apple ID, which is controlled by Apple), we will promptly refund (or request Google to refund) all payments received from you. This refund will be processed within 14 days from the date we receive your cancellation notice. The refund will be made using the same payment method you used for the original transaction. Rest assured, you will not incur any fees as a result of the refund.

If you have made a purchase through a payment platform not mentioned above, kindly contact the third-party merchant directly to request a refund.

Please note that once order processing has commenced with your explicit consent and acknowledgment, you cannot cancel an order for digital content that is not delivered physically. This applies to purchases such as Virtual Items. Therefore, such purchases are considered final and non-refundable

At EliteFilipino, our pricing structure is tailored to our global business operations and is influenced by several factors. We often provide promotional rates that may differ depending on the region, duration of the subscription, bundle size, and other variables. Additionally, we consistently conduct tests on new features and payment methods to enhance our services.

11. Procedure for Reporting Copyright Infringement and Submitting Claims.

If you suspect that your work has been copied and posted on the Service in a manner that violates copyright laws, kindly utilize the provided form to submit a takedown request.

When contacting us regarding alleged copyright infringement, please ensure that you include the following details:

1. An electronic or physical signature of the individual authorized to act on behalf of the copyright owner.

2. A description of the copyrighted work that you believe has been infringed.

3. A description of the specific location on the Service where the infringing material can be found (please provide sufficient details to facilitate its identification).

4. Your contact information, including your address, telephone number, email address, and the identity of the copyright owner.

5. A written statement from you, expressing your good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

6. A statement from you, made under penalty of perjury, affirming the accuracy of the information provided in your notice and confirming that you are either the copyright owner or authorized to act on behalf of the copyright owner.

Please note that EliteFilipino reserves the right to terminate the accounts of individuals who repeatedly infringe upon copyrights.

12. Disclaimers.

EliteFilipino offers the service on an "as is" and "as available" basis. To the extent permitted by applicable law, EliteFilipino does not provide any warranties of any kind, whether express, implied, statutory, or otherwise, regarding the service (including all content contained therein). This includes, but is not limited to, any implied warranties of satisfactory quality, merchantability, fitness for a particular purpose, or non-infringement. EliteFilipino does not guarantee that the service will be uninterrupted, secure, or error-free. Furthermore, EliteFilipino does not guarantee that any defects or errors in the service will be corrected, or that any content or information obtained through the service will be accurate.

EliteFilipino does not assume responsibility for any content posted, sent, or received by you, another member, or a third party through the service. Any material downloaded or obtained through the use of the service is done at your own discretion and risk.

13. Third Party Services.
The Service may include advertisements and promotions provided by third parties, as well as links to other websites or resources. EliteFilipino holds no responsibility for the availability (or unavailability) of these external websites or resources. If you decide to engage with the third parties accessible through our Service, their terms will govern your relationship with them. EliteFilipino is not accountable for the terms or actions of these third parties.

14. Limitation of Liability.

EliteFilipino, its affiliates, employees, licensors, or service providers shall not be held liable for any indirect, consequential, exemplary, incidental, special, punitive, or enhanced damages, including but not limited to loss of profits, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. These damages may result from: (I) your access to or use of the service, (II) the conduct or content of other members or third parties on, through, or following the use of the service, or (III) unauthorized access, use, or alteration of your content, even if EliteFilipino has been advised of the possibility of such damages. In no event shall EliteFilipino's aggregate liability to you for all claims relating to the service exceed the greater of the amount paid, if any, by you to EliteFilipino for the service and USD100 while you have an account.

Please note that some jurisdictions may not allow the exclusion or limitation of certain damages, so some or all of the exclusions and limitations in this section may not apply to you.

15.Arbitration, Class-Action Waiver, and Jury Waiver

 Are the designated methods for resolving any dispute or claim arising from this Agreement or the Service. The arbitration process will be administered by JAMS under the JAMS Streamlined Arbitration Rules & Procedures, with modifications as outlined in our Arbitration Procedures. However, there is one exception to this exclusivity. Either party has the right to bring an individual claim against the other in a small claims court that has jurisdiction. If such a claim is filed in arbitration, the responding party can request that the dispute be transferred to a small claims court if it falls within the court's jurisdiction. If this request is made before an arbitrator is appointed, the arbitration will be temporarily closed. If the request is made after an arbitrator is appointed, the arbitrator will decide whether the dispute should remain in arbitration or be resolved in a small claims court. The arbitration process will primarily involve written submissions, unless either party chooses to request an oral hearing before the Arbitrator. Regardless of whether arbitration or small claims court is chosen, you agree not to initiate or participate in any class action, class arbitration, or representative action against EliteFilipino under any circumstances.

By utilizing the Service in any manner, you are in agreement with the aforementioned arbitration agreement. Consequently, you relinquish your right to litigate any claims between yourself and the Company in a court of law (excluding matters that may be resolved in small-claims court). Additionally, you forfeit your right to participate in a class action or any other form of collective legal action. In the event that you bring a claim against EliteFilipino outside of small claims court (and EliteFilipino does not request the transfer of the claim to small claims court), a NEUTRAL ARBITRATOR, rather than a judge or jury, will determine your rights and settle all disputes and matters pertaining to the arbitrability of the disagreement. You are entitled to a fair hearing before the arbitrator. Generally, the arbitrator has the authority to grant any relief that a court can, including the ability to consider a dispositive motion (which may involve a motion based on the parties' pleadings, as well as a motion based on the parties' pleadings and the evidence presented). However, it is important to note that arbitration proceedings are typically more straightforward and streamlined compared to trials and other judicial proceedings. Decisions made by the arbitrator are legally binding and can only be overturned by a court under very limited circumstances. For more information on the arbitration process, please refer to our Arbitration Procedures.

Any proceeding to enforce this arbitration agreement, including any proceeding to confirm, modify, or vacate an arbitration award, may be commenced in any court of competent jurisdiction. In the event that this arbitration agreement is for any reason held to be unenforceable, any litigation against the Company (except for small-claims court actions) may be commenced only in the federal or state courts located in Dallas County, Texas. You hereby irrevocably consent to the jurisdiction of those courts for such purposes.
The online dispute settlement platform of the European Commission is available under http://ec.europa.eu/odr. EliteFilipino does not take part in dispute settlement procedures in front of a consumer arbitration entity for members residing in the EU or European Economic Area.

16. Governing Law.
If there is a need to enforce this arbitration agreement, such as confirming, modifying, or vacating an arbitration award, it can be initiated in any court that has the authority to handle such matters. However, if this arbitration agreement is deemed unenforceable for any reason, any legal action against the Company (excluding small-claims court actions) can only be initiated in the federal or state courts located in Dallas County, Texas. By agreeing to this, you are giving your irrevocable consent to the jurisdiction of those courts for such purposes.

Please be aware that EliteFilipino does not participate in dispute settlement procedures in front of a consumer arbitration entity for members residing in the EU or European Economic Area. Instead, you can utilize the online dispute settlement platform of the European Commission, which can be accessed at http://ec.europa.eu/odr.

17. Venue.
    With the exception of EU or European Economic Area members who have the right to bring claims in their country of residence as per applicable law, and except for claims that can be appropriately filed in a small claims court of competent jurisdiction, all disputes arising from or relating to this Agreement, the Service, or your association with EliteFilipino that are not submitted to arbitration for any reason will be exclusively litigated in the federal or state courts of Dallas County, Texas, U.S.A. Both you and EliteFilipino agree to the jurisdiction of the courts in the State of Texas and waive any objection that such courts are an inconvenient forum.

18. Indemnity by You.
To the maximum extent allowed by the relevant laws, you hereby consent to indemnify, safeguard, and absolve EliteFilipino, along with our affiliated entities, as well as their and our respective officers, directors, agents, and employees, from any and all grievances, requests, assertions, damages, losses, expenses, liabilities, and costs, including legal fees, resulting from, arising out of, or in connection with your utilization of or access to the Service, your Content, or your violation of this Agreement.

19. Entire Agreement; Other.
    

This Agreement, comprising the Privacy Policy, Cookie Policy, Safety Tips, Community Guidelines, and the Arbitration Procedures (if applicable to you), along with any terms agreed upon by you when purchasing additional features, products, or services offered on the Service, constitutes the complete agreement between you and EliteFilipino regarding the utilization of the Service. In the event that any provision of this Agreement is deemed invalid, the remaining provisions shall remain in full force and effect. The Company's failure to exercise or enforce any right or provision of this Agreement does not waive such right or provision. You acknowledge that your EliteFilipino account is non-transferable and all rights to your account and its Content cease upon your death. This Agreement does not create any agency, partnership, joint venture, fiduciary, or employment relationship, and you are not authorized to represent or bind EliteFilipino in any manner.
